In the context of managing an internal turnover, we are looking for the new HEAD OF LEGAL – BNP PARIBAS REAL ESTATE ITALY.

The person we’re looking for, reporting directly to the Global Head of Legal – BNP Paribas Real Estate, will be in charge of:

  • Managing and monitoring legal risk relating to the Real Estate Business lines in Italy
  • Providing legal advice, assistance and support to the Business Lines Advisory and Property Management
  • Ensuring that procedures, processes and set ups are in place to maximize efficient support and dissemination of legal expertise, knowledge and information within the business lines and more generally within the Legal.

In depth, he/she will have the following responsibilities:

  1. Identifying the main sources of legal risks and depending on the criticality of these and their possible occurrence, designing and implementing an appropriate prevention and risk anticipation framework, in coordination with other potential contributors within Legal department;
  2. providing legal assistance and support to the Business lines (drafting and follow up of advisory and property management templates, drafting and review of bespoke agreements, …)
  3. management of the legal corporate governance of the Italian BNPP RE entities: 
  4. preparation of the corporate documentation to be submitted to the Boards of Directors and Shareholders' Meetings; serving Secretary of the Board of Directors
  5. maintaining relations with the members of the corporate bodies;
  6. determining structure of proxies;
  7. participating in corporate restructuring operations, etc.
  8. management of pre litigations and litigations with the involvement of Group Dispute Resolution 
  9. proactively monitoring legal and regulatory trends and implementing a legal watch in accordance with LEGAL policies and processes;
  10. legal assistance on IT and GDPR issues.
  11. reporting and participation in the Committees involved in the legal risk management (ICC, LRC…) ensuring coordination with other Real Estate control functions Compliance, IG and Risk,
  12. contributing to the Territory governance, in particular to the information sharing process with the LEGAL Head of Territory in Italy;
  13. underwriting of local coverage and management of the insurance aspects of claims, under the supervision of the Insurance Manager of the RE Group.

He/She will supervise the activities of one senior Real Estate Lawyer.

Requirements:

  • With a Master degree in law, he/she must have proven competences in Corporate law and Real Estate law, with at least 10 years of total experience in legal department, a deep knowledge of Corporate and Real Estate matters
  • Native in Italian the fluency in English is mandatory. A good knowledge of French is appreciated.
  • Excellent in Ms Office
