About Business line/Function:
This position, based in Manila, is required to provide legal advice and documentation support to management, functions and businesses in the Philippines and where required, other territories on Philippines law matters. The role includes leading the legal coverage and acting as primary point of contact within LEGAL APAC, for the Manila Non-Banking entity. This may include providing advice in relation to regulatory developments and requirements, corporate governance, procurement, intellectual property, technology, cybersecurity, confidentiality and data protection on initiatives, projects and transactions, where necessary.
Position Purpose
The candidate will be responsible for handling a wide range of legal matters, in servicing the legal needs of the Manila non-banking entity. The candidate will work closely with management, functions and businesses in the provision of legal advice and support. The candidate will be required to be proactively engaged in the management of legal risk, creation of standard documentation and in legal and regulatory projects.
Responsibilities
Direct Responsibilities
- Management of the legal affairs and legal risks of the Manila non-banking entity. Providing general legal and advisory support, acting as the lawyer responsible for the legal coverage of the activity in the Philippines.
- Working closely with territory management, participating in and contributing to relevant management committees and meetings.
- Developing standard agreements and templates together with legal guidelines as appropriate and keep such documentation and guidelines updated.
- Reviewing and drafting documents relating to the activities and transactions, including service agreements, inter-entity service level agreements, outsourcing agreements, IT and administration/facilities vendor agreements, human resources, general procurement etc.
- Preparing and reviewing the POAs to ensure the authorization regime is in accordance with the regional guidelines and also with the local requirements.
- Formulating, drafting and reviewing standard legal documentation, templates and related guidelines, policies and procedure notes.
- Providing legal support to analyse and assess contractual risks to protect the interest of the entity and business activity.
- Helping the entity set up procedures along with best practices, negotiate arrangements and legal terms with third parties, resolve legal problems, and propose and advise on solutions that help the entity function within its operational/legal framework.
- Managing actual and potential litigation and disputes, and insolvency matters.
- Monitoring the development of relevant laws and regulations and updating of legal know-how in respect of products and services in the Philippines.
- Working closely with management, business teams and other functions, providing them with legal assistance and advice on all legal aspects of the day-to-day operations including specific advice on labour/employment law issues, technology, property/contract laws, data protection.
- Working closely with management and business line to opine on the new products and services to be launched by the entity.
- Providing legal advice and support as required in relation to other general legal matters and other legal projects.
- BCP Role: Responsible for overall Business Continuity Management program of the Legal department to ensure business continues when BCP is invoked (BCM strategy, solution, documentation, testing etc).
- The candidate will be expected to conduct these tasks in compliance with and in full respect of BNP Paribas policies and guidelines. A primary focus is effectively managing key legal risk through appropriate levels of control. The candidate will be expected to coordinate closely with other lawyers across APAC and globally on regional and global matters and projects.
Technical & Behavioral Competencies
- Minimum 10 years’ post-qualification experience gained at a leading law firm or organization.
- Sound knowledge of Philippines law and regulations, technical knowledge and relevant experience in the areas referred to above and general corporate commercial matters.
- Willing to assume high levels of responsibility. Ability to work independently, deal with a robust and demanding internal client base including by handling multiple matters simultaneously and meeting tight deadlines when required.
- Flexibility and ability to handle a broad spectrum of work and to establish new structures and templates.
- Ability to identify and analyse legal risks and issues quickly, be responsive and provide comprehensive solutions.
- Solution focused mind-set but with a firm legal integrity.
- Ability to communicate effectively and confidently with individuals at all levels of seniority and from different cultures. Candidate must be a team player with an ability to work closely and constructively with colleagues across the region.
