It takes five criteria into account :
- Equity structure and anti-takeover devices,
- Compensation systems for Executive and Non Executive Directors
- Executive and Non-Executive stock ownership
- Equity Structure
- Structure and independence of the Board
The first four places have occupied by British companies of which BHP Hilton is leader.
