MISIÓN
Legal Advisor at the Legal General Secretariat of the Legal entities of the Banking Group in Spain (Corporate Law & Governance)
RESPONSABILIDADES
1.- Corporate legal affairs
Ensuring from the legal point of view the normal course of corporate life and governance of the legal entities and collaborating in internal special projects (mergers, restructuring, transversal implementations with legal implications, etc.). Drafting and management of general and special powers of attorney for the legal Entities in scope, keeping the records of all company deeds, both electronically and physically, and management and maintenance of an electronic repository of published legal information and documentation
2.- Relations with Public Authorities and Courts of Justice
Managing the relationships with Public Authorities with regard to administrative files and ensuring the provision of information to the Courts of Justice
3.- Advice referred to non-financial contracts
Drafting and review of non-financial agreements
4.- Advice for the drafting and legal review of intra-group SLAs
5.- Procedures, Controls and Reporting
Preparation and update of procedures within the scope of the Legal General Secretariat and Regular controls reporting
6.- Legal advice to other Departments and Entities
Providing of general legal advice to other departments on their daily business activity
7.- Integration within the Legal Dept. in Spain
Active involvement in the Corporate Law Practice Group at Group level, coordination and minutes of the Legal Department monthly Committee and follow-up with the Head of Legal Department
8.- Regulatory Watch – Local Officer
Local Business Line/Entity Regulatory Watch Officer as set out in the LEGAL Regulatory Watch Policy
9.- Integration within Group’s Global Legal Platforms
Active involvement in the Group's Corporate Law and Governance Platform and Regulatory Law Platform, participating in trainings, townhalls and sessions and contributing to the tasks specifically assigned as a contributor from Spain
10.- Declaration of Incidents
ü Requiring the declaration of operational incidents of legal nature (“legal operational risk by nature”) relating to the scope of the Job Description
REQUISITOS
- Estudios
Grado en Derecho más Máster de Acceso a la Abogacía
Se valorará formación complementaria especializada en ramas jurídicas
- Experiencia
Experiencia mínima de un año en despacho de abogados (área mercantil y derecho societario) o asesoría jurídica de empresa en secretaría general corporativa.
- Idiomas
INGLÉS C1 o C2
FRANCÉS se valorará muy positivamente
COMPETENCIAS
- Técnicas
n Conocimientos y experiencia práctica en asuntos de derecho societario y gestión de asuntos corporativos, gobernanza societaria, formalización de acuerdos sociales, otorgamiento de poderes, relaciones con registros, notarías, y administraciones públicas.
n Conocimientos de Administración Electrónica
n Conocimientos básicos de edición de páginas web u otras herramientas tecnológicas colaborativas en línea
n Capacidad de estudio
n Asimilación rápida
