Existence of a transfer plan under which BNP Paribas is to sell its holding of 59.94% in the capital of Via Banque

BNP Paribas and the Espirito Santo Group hereby inform the market of the existence of a transfer plan under which BNP Paribas is to sell its holding of 59.94% in the capital of Via Banque, a credit institution listed on the premier marchéà réglement mensuel of the Paris Bourse, to Espirito Santo Financière SA, which is wholly-owned by the Espirito Santo Financial Group.

The anticipated transfer price is 32.04 Euros per Via Banque share. This price would also be proposed for the price guarantee which will follow thistransaction.

In the next few days, this proposal will be submitted to the representative authorities of the employees of BNP Paribas and Via Banque for their assessment and is expected to receive approval from the competent authorities.

As a result of this transaction, which values VIA Banque's market capitalization at 171 million Euros, BNP Paribas is disposing of a holding which does not offer prospects for group synergies, whereas the Espirito Santo Group will strengthen its presence in France.
