Market Integrity centers on the idea that markets, which are corrupt and inefficient, are unattractive to investors. Regulators, law enforcement, exchanges, financial institutions, and investors all rely on the orderly operation of financial markets in order to provide a foundation of economic growth and efficient access to capital. The violation of these principles can cause severe disruptions in investor confidence and ultimately threaten the stability of the financial system. The Americas Control Room (“Control Room”) is a part of the Market Integrity Group within the Ethics and Compliance Department, which provides transversal support to all of the business functions performed by BNP Paribas in the Americas. The Control Room implements policies and procedures reasonably designed to prevent the misuse of material non-public information. It is mandated to monitor and control the flow of inside information within BNP Paribas Americas and amongst various legal entities which, in addition to the United States include: Canada, Hispanic Latin America (“LatAm”), Brazil, and Mexico. Legal BNPP entities which fall under this purview include BNP Paribas U.S. branches, agencies, representative offices, CIB Canada, CIB LatAm, Brazil, Mexico and CIB U.S.

Responsibilities:
Under the Market Integrity framework, the Americas Control Room: (1) Ensures that information barriers between public-side and private-side businesses are fully operational and robust; (2) Enforce controls that are reasonably designed to prevent the misuse of material non-public information (“MNPI”); and (3) provides essential support to both the BNP Paribas/Exane Research platform as well as core Control Room activities.
Key responsibilities germane to this position include, but are not limited to:
- Maintain the firm’s Global Watch (“WL”), Grey (“GL”) and Restricted Lists (“RL”), via reviewing and soliciting transaction record updates from global banking teams.
- Define and implement, as necessary, restrictions applicable to sales, trading and/or research activities;
- Liase with regional Control Room counterparts in managing the firms Restricted, Watch and Grey Lists; and the conflict management tool COSIMA.
- Review potential transactional conflicts within the Bank, and liase with the various businesses, as necessary, to resolve any real or perceived conflicts of interest.
- Serve as a key advisor to business groups as well as other Legal and Compliance colleagues on issues regarding Information Barriers, wall crossing procedures, sensitive information and the Need-to-Know Principle.
- Advise Global Banking groups and select groups within Global Markets of regulatory requirements on a transaction-specific basis.
- Review BNPP Exane Equity Research Reports (incl. Flash Notes and Industry Reports as part of the publication workflow to monitor for any potential or actual conflicts due to the Firm’s involvement with a company on the Firm's Watch List or Restricted List.
- Chaperone communications between bankers and Research Analysts.
- Review of vetting requests from Global Banking (e.g., ECM) and arrange subsequent meetings between the parties.
- Review potential Corporate Access requests (e.g., public appearances).
- Obtain updates to the firm’s Global Watch and Grey Lists from Global banking teams, as needed, to facilitate the clearance of Research materials.
- Track new industry initiatives and developments and participate in meetings concerning implementation of any new requirements.
- Establish written guidance on the appropriate implementation of regulatory requirements, laws, rules and standards through policies and procedures and other documents.
- Conduct training, as directed, to educate the bankers and Research Analysts on various Compliance/regulatory topics.
Minimum Required Qualifications:
- BA or BS Degree.
- Minimum of 6-8 years of experience with a financial services firm in a Control Room, which includes Research Clearance.
- Strong knowledge of U.S. securities rules and regulations, especially those of the SEC (i.e., Securities Exchange Act of 1934 Section 15(g) and Securities Exchange Act of 1934 Rules 10(b) and 10b-5, Rules 138, 139,) and FINRA (i.e., FINRA Rules 2241 and 2242).
- Strong ability to apply knowledge of rules and regulations to various types of banking activities and operational arrangements.
- Excellent written, interpersonal and communication skills, with the ability to interact effectively with and across regions and various levels of management and maintain relationships with stakeholders.
- Attention to detail and the ability to manage multiple undertakings at the same time and with different level of granularity, constantly keeping focus on priorities.
- Transversal competency:
o Ability to develop and adapt operational processes.
o Ability to influence;

o Critical thinking, adaptability, active listening, and organizational skills.

Preferred Qualifications:
- Product knowledge (Equities/Derivatives, Fixed Income, etc.).
- Prior experience with a financial services firm in a Control Room, Compliance, and/or self-regulatory organization.
- Familiarity with PowerPoint and Excel.
- Securities licenses preferred (Series 79, 63, 87).
- Masters Degree (JD preferred).

The expected starting salary range for this position is between $115,000 to $190,000 annually. The actual salary may vary based upon several factors including, but not limited to, relevant skills/experience, time in role, base salary of internal peers, prior performance, business line, and geographic/office location.
