What is this position about?

The role is for a junior to mid-level prime brokerage and cash equities lawyer to sit in the Global Markets PS&S legal team in Hong Kong.  The successful candidate will draw on their prime brokerage/cash equities related experience to provide ongoing legal advice to business lines and senior management within the APAC region in respect of cash and synthetic prime brokerage related issues (including settlement and custody, cash loans, securities settlement and cross-asset margining, as well as derivatives), securities lending and related regulation and documentation.  

The successful candidate will be expected to contribute in these areas from a legal perspective and will support, and directly liaise and coordinate with, various business lines and internal stakeholders within the bank, both locally and internationally.

What would be your typical day at BNPP Paribas look like? 

In this role, you will be involved in: 

  • Drafting, negotiating and maintaining prime brokerage, cash equities and securities lending related agreements, including the drafting of bespoke terms to address particular counterparty concerns (e.g. certain hedge funds), for both the local and international platforms.  This may include Prime Brokerage Agreements, ISDA Masters Agreements/CSAs, GMSLAs, Global Swap Agreements, Account Control Agreements and related documentation, as well as other financing and trading products documentation.
  • Providing analysis and advice in respect of legal and regulatory issues including netting and collateral opinions.
  • Keeping abreast of relevant local and international regulation developments, as well as relevant market infrastructure changes. 
  • Liaising and working collaboratively with Master Agreements Legal teams locally and internationally regarding template review, policy and process matters related to the above. 
  • Providing structuring, documentation, execution management and legal support in respect of all BAU and complex / bespoke transactions and new business initiatives/projects.
  • Contribute to functional governance and reporting processes, for the sharing of knowhow and escalation / management of risks.
  • Advising Business and preparing Legal comments for the purpose of Transaction Approval Committees and/or other internal committees.
  • Building and maintaining constructive working relationships with law firms in the Asia-Pacific jurisdictions covered by the Prime Services and Cash Equities Business in Hong Kong and with peer professionals at other investment banks. 

What is required for you to succeed?

Technical and behavioral competencies

 Expertise and technical knowledge of cash and synthetic prime brokerage, securities lending, repos, their related documentation and their international legal and regulatory framework. 

  • Proactive, self-motivated and confident individual, able to manage a diverse workload and interact comfortably and convincingly with Business and other stakeholders within the bank, as part of a cross-disciplinary and cross-border team.
  • Able to deal with a robust and demanding internal client base, including by handling multiple matters simultaneously and by meeting tight deadlines when required.

Specific Qualifications Required

  • Legally qualified in a common law jurisdiction with 3+ years of experience in a major international law firm or top tier investment bank.
  • Excellent command of written and spoken English.
  • Chinese language fluency (reading and writing) would be an advantage.
