CONTEXT AND CHALLENGES

We are looking for an experienced Legal Advisor for our Legal team, that is situated within BNP Paribas,  Luxembourg Branch.

The position you are applying for/Your new role

The Legal Counsel is a member of the Legal Team of BNP Paribas Luxembourg, which is headed by a member of the Executive Committee who reports to the CEO of BNP Paribas, Luxembourg Branch. Our Legal team is part of BNP Paribas LEGAL, which brings together lawyers with diverse skills around the world whose main missions revolve around the mastery of the Group's legal risk, the legal security of its activities and its leaders, the management of legal risks as well as appropriate controls. These missions are carried out while respecting the highest level of excellence and integrity.

WHAT’S YOUR DAY-TO-DAY MISSION?

On a daily basis, your main missions will be to support our Investment Funds & Private Capital Departments, Market & Financing Services and Corporate Trust Debt Services, namely:

  • Drafting and negotiating service agreements of the Bank acting as depositary bank, fund administrator of AIFS/UCITS/unregulated funds, loan administrator,
  • Drafting and negotiating services agreement of the Bank acting as agent (agent bank / calculation agent, principal paying agent / fiscal agent, registrar, transfer agent, listing agent, etc) in debt capital markets (conventional and structured debt) 
  • Structuring, documenting and negotiating financing transactions, assisting on all security aspects of the transactions and structuring, documenting and negotiating pledge and collateral arrangements
  • Supporting the drafting and negotiation of IT agreements
  • Providing legal advice to the Business Lines, the Functions and the Management of the Bank in order to allow them to take a decision or to pursue their activities with full information on the legal impacts
  • Contribute to the legal watch activities of the Bank in order to ensure that any legislation or jurisprudence that impacts the Bank is known by the relevant persons
  • Advising on new products and projects as well as on the impact of new legislation

Your working environment 

  • You will join our dynamic and diverse team composed of 13 individuals from 7 different countries. We pride ourselves on fostering an environment of robust teamwork, collaborative knowledge sharing and a strong sense of collegiality.
  • You will collaborate closely with the Legal teams in other countries as well as with the Business and Functions within BNP Paribas Luxembourg.
  • We are committed to your professional growth. Should you need to enhance your expertise on certain topics, your colleagues will be there to support you, or we will find specialized training, either within or outside the Bank, to help you develop the skills you need.
  • Your primary work location will be in Luxembourg city. After an initial period of 6 months, you will have the flexibility to work 2 days a week from home or from our offices near the Belgian or French border.
  • The position is also eligible for part-time work, offering you the balance and flexibility you need.

Are you our future Experienced Legal Advisor? 

Professional experience and/or degree 

  • You have a University degree in law with specialization in financial law or company law;              an LLM and/or Cours complémentaires en droit luxembourgeois (CCDL) is an advantage
  • You have 5 to 8 years professional experience in a similar legal position (bank and / or law firm)

Technical and Transversal skills

  • You have a good knowledge of the legislation of the Luxembourg financial sector and especially of the legislation applicable to investment funds 
  • You have good editorial capabilities

Language skills

  • You are fluent in English and French; any additional language being an advantage
