Business area
Structured Securities is an organisation within Legal comprising legal professionals providing legal support to business lines throughout the BNP Paribas Group in relation to Structured Securities. The organisation is headed by the Global Head of Structured Securities. The team is part of the Legal Securities Platform.
Job purpose
The role involves provides specialist legal and/or regulatory advice and support to the business in relation to structured securities, securities issuance programmes and securities distribution in order to ensure that the business is supported, and able to achieve its objectives, on all matters relating to structured securities, whilst effectively identifying and managing legal risk. The successful applicant will draft and negotiate documentation relating to structured securities matters, such as structured Notes, Certificates & Warrants and repackaging transactions and deal with related programme maintenance, in the UK or across EMEA as needed and will supervise more junior members of the team. The role also requires the capacity to review and advise on complex financial structures and strategies.
Scope: UK, with some advice on European matters.
The successful applicant will manage transactions and projects, and will develop relationships with stakeholders and will provide high quality legal advice to the business.
Key responsibilities
- Advanced level professional accountable for providing specialist, high quality legal and/or regulatory advice to the business in respect of matters relating to structured securities such as structured Notes, Certificates & Warrants and repackaging transactions..
- Drafts, negotiates and maintains legal documentation for securities issuance documentation, including Notes, Warrants, Certificates and repackaging transactions.
- Drafts, reviews and advises on complex financial structures and strategies, displaying high levels of both legal and commercial acumen.
- Takes an active role in supporting and managing the development of legal policy within Structured Securities.
- Reviews the quality and efficiency of work within the Structured Securities team and formulates recommendations that align with best practice, ongoing organisational strategies and cost efficiencies.
- Manages legal projects and transactions to improve the legal service provision to the business and/or assists and supports with large-scale legal projects in structured securities
- Responds to business issues and queries relating to structured securities in order to provide quality and timely advice to the business.
- Manages and supports relationships with key stakeholders across the business to ensure that a service of high quality legal advice is provided.
- Influences and supports other team members as required by leading in decision making and approach where problems are more complex and require sophisticated analysis or experience. Acts as a point of escalation for more junior staff.
Requirements
- English law qualified lawyer (or an equivalently qualified lawyer under another system) with expert knowledge of structured securities matters, particularly structured Notes, Certificates & Warrants and repackaging transactions, and an understanding of how the current legal/regulatory practices relevant to structured securities fit with the broader Bank and the Legal function.
- Good working knowledge of Bank wide policies, procedures, regulations and legislation relevant to structured securities.
- Good commercial and communication / stakeholder management skills along with excellent analytical skills and the ability to translate technical and complex legal concepts into clear guidance and advice to the business.
- Strong relationship management skills and an ability to provide support and act as a mentor to more junior members of the team.
- Computer literacy and a good understanding of relevant software used by the Structured Securities team at the relevant time.
