Assistant Vice President – Corporate Governance Officer

Corporate Governance is one of three departments in a rapidly expanding Public Policy and Regulatory Relations team (“PPRR”) for BNPP’s IHC and Wholesale operations in the U.S. BNPP desires to be “best in class” in terms of corporate governance, both to ensure sound decision-making and risk management of risk and to meeting rising regulatory expectations. The objective of the Corporate Governance division is support IHC management and BNPP’s wholesale operations (including the Regional and broker/dealer boards) in achieving this goal.
The Corporate Governance team will be expected to work closely with its sister divisions in PPRR, (i) Regulatory Liaison and Examination Management and (ii) Strategic Regulatory Analysis and Implementation. It will also be expected to work closely with IHC and wholesale executive management, business lines and control functions (including Compliance, Risk, Finance and Legal). It will also liaise as necessary with the Corporate Secretarial function for the IHC.
This position within Corporate Governance will be an Assistant Vice President, reporting to a Team Leader within Corporate Governance. Together they will:
Support Regional Board and Regional Board Committees, including assisting with scheduling meetings, preparation of agendas, distribution of materials, and tracking escalation points, “effective challenge” and follow-up items;
Support broker/dealer boards, including assisting with scheduling meetings, preparation of agendas, distribution of materials, and tracking escalation points, “effective challenge” and follow-up items;
Support Wholesale management committees, including assisting with scheduling meetings, preparation of agendas, distribution of materials, and tracking escalation points, “effective challenge” and follow-up items;
Maintain key corporate documents and records;
Work closely with senior management to ensure proper functioning of the above boards and committees; and
Ensure decisions made are communicated to relevant stakeholders and that there is follow-up to ensure they are implemented.
Support Head of Corporate Governance in her support of IHC management committees, including assisting with scheduling meetings, distribution of materials, etc.
Take minutes for Wholesale management committees and broker/dealer boards, as necessary, or identify those designated to take minutes for particular committees.
The Corporate Governance Division will also be responsible for maintaining an up-to-date central repository for key corporate documents and records related to the Wholesale operations.
The ideal candidate for this position within Corporate Governance will be a person who combines an understanding of the corporate environment of a financial institution or law firm, good organizational ability and strong communications and interpersonal skills.
- He/She should have at least 3 - 5 years of relevant industry experience.
- He/She must be detail oriented, and also possess advanced PowerPoint skills.
- Responsiveness, tact and judgment are a must, as well as good writing skills.
