Vice President – Counsel

Business Overview: 

The Equities & Derivatives team of the Corporate & Institutional Banking Legal Department provides transactional, structural, advisory and documentation support for BNPP’s Global Markets businesses in equity derivatives, strategic equity and custom index products. 


Responsibilities:

  • Review and negotiate transaction documentation for issuer buyback transactions, margin loans and other corporate equity derivatives
  • Provide legal advice to front office personnel relating to equity derivatives and issuer transactions including US securities laws and US bankruptcy law
  • Draft documentation for exotic equity derivative transactions and maintain confirmation templates
  • Provide legal advice relating to equity derivatives and analysis of ISDA definitions as well as regulatory requirements including Dodd-Frank rules
  • Draft, review and negotiate derivatives documentation including master confirmation agreements, ISDA Master agreements and related documentation for North America clients
  • Draft and review proprietary index documentation including index rule books, transaction documentation and disclosures
  • Review and negotiate license agreements, confidentiality agreements and ancillary documentation for proprietary indices
  • Work with various teams across the organization including trading and structuring, back office and other legal teams
  • Manage ad hoc projects as required.


Minimum Required Qualifications:

  • JD Degree, admission to New York bar.

  • At least 5 + years of law firm or in-house experience

  • Strong knowledge of US securities laws
  • Experience in: 

    • Equity derivative transactions and documentation, including industry transaction documentation and ISDA definitions

    • Structuring of derivative transactions

    • Negotiating with external clients

    • Advising capital markets trading businesses

  • Excellent:

  • Experience handling multiple projects simultaneously

  • Ability to prioritize workload, manage time efficiently while retaining  attention to detail

    • Microsoft Office – Word, Excel, Powerpoint
