Overall Job Purpose

A position exists for a junior lawyer in the PS&F team, reporting to the Head of Prime Solutions & Financing Legal in London.

      

The PS&F team within BNP Paribas CIB Legal is responsible for the provision of legal, structuring, regulatory, advisory and transaction execution support in respect of the following: Derivative Execution & Clearing (DEC) which includes clearing and execution of listed commodity futures, Multi-Asset Prime Brokerage (PB) and the Financing & Collateral Transformation (FCT) business lines.

 

The role will consist primarily of support for terms of business and other client facing documentation in the commodity futures business in DEC, and netting opinion maintenance linked to those documents. The role will also include exposure to client facing documentation in PB and FCT.

 

Areas of responsibilities: 

  1. Governance and team organization

  • Collaboration and knowledge sharing within PS&F Legal and with colleagues working on related matters in London and internationally.

  • Collaboration with CIB Legal DEC lawyers and/or other BNPP group clearing businesses on matters of shared interest or concern to BNPP clearing businesses.

       2. Markets / Products / Documents

  • Negotiation and advising on Commodity Futures client contracts.

  • Negotiation and advising on Commodity Futures ancillary contracts, e.g. in relation to bank and intermediary execution/clearing accounts, SLAs with service providers, give-up agreements, etc.

  • Negotiation and advising on bespoke Commodity Futures contracts and arrangements.

  • Assisting with legal advice in connection with client defaults and close-outs (with senior support and Group Dispute Resolution Team where appropriate).

  • Ancillary activities in connection with Commodity Futures contracts (global client broadcasts, novations, data input, capacity and authority checks, etc.).

  • Negotiating and advising on other onboarding or derivatives documentation relevant to the PS&F businesses such as electronic trading agreements or global swap agreements with supervision or assistance of product or transversal specialists where relevant.

  3. PS&F Generally

 Where required assist the wider PS&F legal team with additional work-flow, regulatory analysis and projects.

 

   


 

Contributive responsibilities (how the role contributes to the success of business line / function)

Analysis of the legal risk and subsequent negotiation/drafting of the documentation to BNPP’s satisfaction in order to onboard clients and execute transactions/projects.

Communication of the legal analysis to other internal functions/TAC/NAC committees in order for transactions/projects to be approved and executed.

Provision of support to business teams in regard to the implementation of new regulations including production of guidance memos, teach-ins and documentation review and amendments

Where appropriate, assist, involve and communicate with other internal Functions and other teams within the Legal department on projects and other matters.

Keep up to date with legal, market and regulatory developments; share know-how appropriately with relevant areas of the business, across the legal teams globally and with other functions.

Assisting with the development of new and existing policies, guides and templates for the relevant business areas globally.

Help to develop group team spirit through mutual support, inclusive behaviours and effective communication.

Observe and embody the BNP Paribas group values and principles.

Essential Skills/ Competencies

  

We are seeking a candidate with the following skills/competences:

   

Qualified lawyer in England with circa 2-5 years’ post-qualification experience gained at an international law firm or equivalent experience gained in-house. Candidates qualified in other jurisdictions with robust and relevant experience will also be considered.An outgoing and robust personality who is capable of working both autonomously as well as part of a cross-disciplinary team.

Ideally, candidates will have experience in some or all of the products to be covered. 

Is independent, thorough and dynamic, with excellent communication and drafting skills.

Has strong time management and prioritizing skills, is self-sufficient and operates comfortably in an environment with limited secretarial/admin support.

Has the ability to work as part of a team, since s/he will be working with a range of different people across several jurisdictions within the ban Is available to start as soon as possible
