Front Office/Client Transaction Tax Support & Tax Structuring Officer

Business Overview: Research and analyze tax issues and new tax legislation; assist with the formulation and documentation of conclusions. Together with the Managing Director, draft responses to requests and provide guidance / support to stakeholders - internal (within the U.S. Tax Department and the Finance team) and assist the Managing Director in providing guidance and support to external stakeholders (Front Office, Legal, IRS auditors, Group Tax…)  


•      Research, analyze and prepare memorandum of law evaluating the impact of all U.S. tax issues for Managing Director to evaluate with respect to new business products and activities/transactions related to Fixed Income, Equities & Derivatives, Commodities, and Prime Brokerage Business;

o    Coordinate and liaise with Managing Director to formulate U.S. tax technical positions with respect to contemplated transactions and review such positions with Group Tax Department

o    Assist Managing Director with the drafting of  new product parameters based on new legislation and / or directives

o    Participate in New Activity and Transaction Activity pre-committee meetings with the Managing Director as appropriate,

•      Research new tax legislation that affects the business, analyze tax implications and work together with the Managing Director to write alerts for Front Office personnel

o    Provide tax analysis on new legislation to the Managing Director for use in identifying the tax issues that can have an impact on the lines of business and the financial status of the organization

o    Provide support to the Managing Director to develop the advice for the lines of business in the development of their respective products to ensure that they comply with tax rules and regulations;

•      Assist with tax structuring deals, including due diligence on mergers and acquisitions

•      Review ISDA tax representations on loans, as requested by the Legal Department

•      Review withholding tax sections of new loan issuances and prospectuses

•      Prepare and coordinate memorandum of law on the tax implications of new transactions with the Managing Director

•      Coordinate with Managing Director to develop the tax analysis of transactions that are required to be presented to the Tax Coordination Committee in Paris;

•      Assist on the drafting of procedures and controls and perform secondary controls assigned to the Tax Department

Minimum Required Qualifications

·      Must be a CPA or JD

·      Minimum of 3 to 5 years’ experience with a financial services company, and / or accounting and / or law firm

·      Strong interpersonal communication skills and presentation skills

·      Effective analytical, organizational, and problem-solving skills

·      Strong communication skills, both written and verbal

·      Technical proficiency with Word, Excel, CCH and BNA

Preferred Qualifications:

·      Master’s degree in Tax or LLM

·      Knowledge of M&A transactions and the tax implications relating of such contemplated structures 

·      Basic product knowledge a plus

·     Good understanding of IRC -871(m) a plus
