What does your daily life mean?
The DECM Legal team is involved from a DECM project’s inception through to settlement. DECM business officers rely heavily on the Team to get their deals executed. In the case of a first time issuer, or a new product for a specific client, the Team may be involved in the pitch process, often attending the meetings with the client. We will also be involved in the due diligence / prospectus writing process, involving some amount of travel (in a post-C19 pandemic scenario).
The successful candidate for the proposed role will be required to:
- provide high quality, efficient, legal advice and assistance
- play a pro-active role and focus on managing ECM transactions from inception through to settlement
- operate autonomously
- work closely with ECM officers and external counsel
- ensure consistent and rigorous legal risk management and approach to legal documentation drafting & review
- business acumen with good negotiation, drafting and communication skills
- assist and communicate with other internal functions within the Bank
- interface with external clients and peers
- demonstrate a willingness to provide assistance on DCM transactions from time to time

The Group Legal department in is responsible for providing legal advice and support to BNP Paribas’ management, businesses and functions across the world and also provides support to CIB globally as required. Business lines supported include Fixed Income, Equities and Commodity Derivatives, Equity Capital Markets.
The Debt and Equity Capital Markets (DECM) Legal team currently comprises in Paris, London, Frankfurt, New York, Hong Kong, Singapore, Brussels and other smaller hubs who are responsible for supporting the Bank's primary DECM operations. A team of transaction legal professionals also based in London supports the Bank's non-syndicated / privately placed MTN business (where either the Bank or a third party is issuer).
The DECM Legal team (the “Team”) comprises English, French, Italian, Swiss and NY qualified lawyers with backgrounds in leading capital markets firms or financial institutions.
The Team’s deal flow comprises both:
Equity and Equity-linked transactions (essentially IPOs; Rights Issues; Primary and Secondary Block trades; Convertible & Exchangeable Bonds) and;
Debt transactions with a high proportion of Investment Grade new Eurobond issues, both under MTN programmes and stand-alones as well as High Yield transactions, where the Bank acts as lead manager / bookrunner. The Team also reviews documentation relating to the Bank’s role as dealer under MTN Programmes and as co-manager of syndicated new issues.
Other members of CIB Legal provide support to the Bank's derivative and corporate banking operations. Physically, the DECM Legal team is located in the Legal department away from the trading floors and the business teams.
The role would be based in Paris but location can be discussed.
And you? / Are you our Debt and Equity Capital Markets Lawyer ?
The successful candidate will be an English-(or US) qualified securities lawyer with no less than 7 years’ solid, technical ECM experience across Europe and the EMEA zone globally.
DCM technical experience would be an advantage, but is not strictly necessary as the role will be more ECM focused, at least initially.
Candidates would be expected to come either from a law firm or a similar in-house position with an ECM, or mixed DECM, focus and should be proficient in handling all aspects of the legal execution of equity securities transactions, and/or DCM issues from pre-mandate stage to settlement. In house experience preferred but not required.
Knowledge of all key documents and processes of ECM transactions (engagement letters, prospectus, due diligence, legal opinions, comfort letters, underwriting agreements, AAMs).
Knowledge of US regulations and practices is an advantage.
Knowledge of the corporate broking activities, UK Listing Rules and Sponsor Regime also a plus.
Familiarity with key internal bank processes (such as compliance, syndicate, transaction approval committees, etc.
Fluency in European languages is a preferred skill, fluency in French welcome.
Time management skills and ability to work and be on call at irregular/un-conventional hours.
Capacity to interact and work with business teams and colleagues across most EU/UK jurisdictions with a proactive and solutions-oriented attitude.
