The Company Secretariat Department is a single reference for governance issues and it supports the internal formal governance committees, BNP Paribas Trust Corporation UK Limited (a regulated entity) and a portfolio of subsidiaries of the Securities Services UK Business Line.

The purpose of the role is to be responsible for the provision of company secretarial services to a number of Securities Services UK formal governance committees, one regulated legal entity and oversee statutory compliance in relation to the Securities Services UK subsidiaries

Key Responsibilities

• Responsible for the creation of agendas, reports and circulating committee papers for Securities Services UK internal governance committees and preparing the minutes of such meetings;

• Provision of advice to ensure that best practise corporate governance principles are instilled in order to ensure robust decision making;

• Oversee the production and co-ordination of annual reports for the UK subsidiary companies within the scope of Securities Services UK;

• Oversee the implementation of changes to group structures and administration of subsidiary companies also providing statutory technical guidance as appropriate (inclusive of recapitalisations and reduction of capital exercises);

• Oversee the maintenance of statutory records of the UK subsidiaries and filings with the Registrar of Companies;

• Co-ordination and responsibility for processing updates to the UK Directors’ Handbook as well as delivery of training to new legal entity Directors;

• Attendance at the SS Regulatory Change Committee - Review developments in corporate governance as well as legislative developments and preparation of reports to the regulated entity, the formal governance meetings and Team Meetings for cross fertilisation;

• Contributing to updating the Key Performance Indicators schedules on a monthly basis;

• Involvement/ coordination / leading on ad hoc projects, as and when requested by the Head of Governance & Agile Administration Management;

• Responsible for the maintenance of records for Data Protection Act purposes, where appropriate.

• Maintenance of filing systems and general archiving

The Requirements

Essential:

• Associate of the Chartered Governance Institute

• Financial Services experience

• Proficient in Microsoft Office applications, GEMS and Diligent

• Technical knowledge of the UK Companies Act and the UK Corporate Governance Code

• Comprehensive understanding of industry developments

• Able to express ideas effectively to contribute to the development of the department

• Good written and communication skills

• Proven ability to interact effectively with senior individuals

• Strives for continuous improvement
