This is a role in the Legal team for the provision of corporate secretarial and general corporate advice and support to the BNP Paribas group entities.
Providing day-to-day corporate secretarial advice and support to the BNP Paribas group entities operating in Singapore.
Being responsible for ensuring the entities’ compliance with obligations under the Companies Act of Singapore, such as filing of annual returns, convening of annual general meetings and changes to directors and (for the Singapore subsidiaries) preparing board and shareholder minutes/ resolutions and liaising with entities’ Board of Directors, shareholder representatives, company secretary(ies) and taking care of all corporate affairs/ secretarial matters relating to directors and shareholders eg. appointments to the board of directors and appointments of representatives and authorised signatories.
Monitoring the filings required to be made to the Accounting and Corporate Regulatory Authority of Singapore (ACRA) and liaising where necessary with other departments to ensure proper filings.
Managing the maintenance and update of the various powers of attorneys, authorised signatories lists and authorisation documentation required by the various entities and business lines for their business operations.
Dealing with queries from the directors of the entities, Finance, Compliance and other stakeholders.
Assisting in projects involving reorganization or restructuring of group entities.
Assisting in internal reporting.
Managing and updating and (where necessary) formulating and implementing standard documentation and related guidelines, policies and procedure notes.
Monitoring the development of relevant laws and regulations and updating of legal know-how in connection with the above areas of work.
Providing support in general legal matters as required, such as garnishee orders, injunction orders, bankruptcy or winding up notices or orders, and other legal projects.
Primarily Singapore, but also supporting other territories in South East Asia where required.
Qualifications and Requirements
Candidates who are qualified corporate secretarial practitioners with experience gained at a leading law firm or corporate secretarial services provider preferred.
Sound knowledge of Singapore corporate and commercial law and regulations, including corporate secretarial matters and practice, is a must.
Willingness to cover a broad spectrum of work and assist in establishing new structures and templates.
Ability to identify and analyse issues quickly, be responsive and provide comprehensive solutions.
Willingness to assume high levels of responsibility.
Ability to work independently and deal with a robust and demanding internal client base, including handling multiple matters simultaneously and meeting tight deadlines when required.
Good drafting skills.
